Program Terms & Conditions

SeaMiles Rewards Program participants ("Participants") and applicants must carefully read this document as it contains important program information and rights and obligations, as well as certain limitations that could apply.

By participating in the SeaMiles Rewards Program (the "SeaMiles Program") you agree to the following terms.

SEAMILES, LLC [("Sponsor")] reserves the right to modify or terminate the SeaMiles Program in any manner, in whole or in part, as outlined below even though modifications may affect the redemption value of the rewards SeaMiles already accumulated.  You agree that you will review these terms periodically and that you shall be bound by these terms and any modifications hereof.

A. INTRODUCTION

The following terms and conditions (collectively the "Program Rules") govern your participation in the SeaMiles Program and includes information describing how to redeem and book the SeaMiles you earned and other important SeaMiles Program conditions and limitations.  SeaMiles may be earned using the SeaMiles Visaź Rewards Card (the "Card") issued by Chase Bank USA, N.A. ("Chase") For the Rules and Regulations governing earning rewards with the Card, please see the Program Rules and Regulations sent to you with your card.  Please read this document carefully and keep it in a safe place. 

The various rewards available through the SeaMiles Program are the sole obligation of the provider of the applicable service or product, in all cases either the Sponsor or a participating reward partner ("Partner").  All SeaMiles are offered by the Sponsor and are not an obligation of Chase to fulfill or redeem.  Chase is solely responsible for the maintenance of the credit card program (the "Program"), credit card accounts, the issuance of credit card statements, and the issuance of a monthly summary of the SeaMiles earned by each Cardmember and any authorized Card user.

SeaMiles are redeemable only against the specific SeaMiles Program rewards ("Rewards") described in this document.  Rewards may include discounts against the purchase price of eligible cruises, and free cruises.

B. IMPORTANT NOTICE REGARDING CHANGES TO THE SEAMILES PROGRAM RULES

The Sponsor and its partners reserve the right to from time to time, and with or without notice, add, modify, delete or otherwise change (collectively "changes") any aspect of the SeaMiles Program including, but not limited to the following: amending the SeaMiles Program rules; changing the restrictions, benefits or features, in whole or in part, applicable to the SeaMiles Program; discounting or replacing any reward with another of lesser, equal or greater value; modifying, deleting or terminating any or all of the program, rewards, benefits or special features or the terms and conditions associated therewith. Changes may materially and/or negatively impact or affect the value of unredeemed SeaMiles, the value of rewards already issued, as well as any SeaMiles you may earn in the future including, but not limited to the following ways: the number of SeaMiles required to receive rewards, and the rules for redeeming SeaMiles.  Such changes to the SeaMiles Program may include modifications that

• govern SeaMiles or other SeaMiles Program benefits earned on or after the date of change,

• change the value of already accumulated SeaMiles or other SeaMiles Program benefits, and/or

• govern SeaMiles or other SeaMiles Program benefits earned on or after the date of change and change the value of already accumulated SeaMiles unless otherwise stated.  The most current version of the SeaMiles Program Rules shall be available online at www.seamiles.com for your review.

C. GENERAL SEAMILES PROGRAM RULES

All issues and questions concerning the construction, validity, interpretation, and enforcement of the SeaMiles Program rules, or the rights and obligations of a Participant, and the Sponsor in connection with the SeaMiles Program and the SeaMiles Program rules, shall be governed by, and construed in accordance with the laws of the State of Florida, without reference to any choice of law or conflict of laws, rules or provisions (whether of the State, or any other jurisdiction) that would cause the application of laws of any jurisdiction other than the State of Florida.

The terms of the SeaMiles Program (including but not limited to automatic enrollment in the SeaMiles Program, participation in the SeaMiles Program, the awarding of SeaMiles, and the redemption of Rewards under this SeaMiles Program) may be subject to government approval and are void where prohibited by law.  If any term of this SeaMiles Program is determined by law to be invalid or unenforceable, then the remainder of these terms and conditions of the SeaMiles Program shall be valid and enforceable to the fullest extent and in the broadest application permitted by law.

If any Participant is improperly denied the ability to redeem or book any SeaMiles or receive earned or available Rewards, the liability of the Sponsor or any of its Partners will be strictly limited to the equivalent value of those unutilized SeaMiles or unredeemed Reward as determined solely by SeaMiles in its own judgment.

D. ELIGIBILITY

Participants may be disqualified from participating in the benefits of the SeaMiles Program  if, in the judgment of the Sponsor, the Participant(s) has violated any of the SeaMiles Program rules then in effect.

At the sole discretion of the Sponsor, disqualification may result in the termination of the Participant(s)' participation, termination of the participation of others with the same account, including authorized users, if any, and/or loss of any unredeemed SeaMiles.

F. REWARDS

Important Notice:  The Rewards and other terms and conditions set forth in this section were current as of May 04, 2007 but are subject to change without personal notice to you.  For the current list of Rewards and other terms and conditions, visit www.seamiles.com.  If you are not able to retrieve a copy via the internet, you can call 1-877-SEAMILES to obtain a copy.

Subject to program terms and conditions, every 5,000 SeaMiles can be redeemed for a $50 discount off a cruise booking of your choice. In addition, a $50 Bonus credit will be issued for every 20,000 SeaMiles redeemed. You may redeem SeaMiles for the full cost of your cruise booking, provided your available SeaMile balance is sufficient as per the increments illustrated above.

Cruise Rewards are available for use on any eligible cruise.

G. REDEMPTION OF SEAMILES

Participants must redeem reward SeaMiles by making their cruise booking through SEAMILES, LLC or its representative (s) at 1-877-SEAMILES or through a SeaMiles Designated Travel Agent (please visit www.seamiles.com  for a list of participating Agents).

In order to execute the redemption, the Participant must provide information that may include but not be limited to:  the Member ID number, password, total cost of the cruise vacation booking, date of final payment and the number of SeaMiles to be redeemed.

Upon verification of the above, SEAMILES will deduct the appropriate number of SeaMiles from the Participant's total SeaMiles balance and issue a credit or remittance to the Participant as per the schedule found in section (F. REWARDS)

Once the SeaMiles have been deducted from Participants' account, those SeaMiles cannot be restored to your account under any circumstances, even if the redeemed SeaMiles Program benefit is never utilized by Participant.

If an adjustment to Participant's SeaMiles causes Participant to receive a Reward he/she was not otherwise entitled to, or if Participant redeems more SeaMiles than he/she is entitled to, Participant agrees he/she owes the Sponsor the value of such excess redemption: the Sponsor has the right to reduce the Participant's SeaMiles accordingly and withhold any subsequent SeaMiles and/or Rewards.

The Sponsor shall not be responsible in any way, or bear any liability whatsoever for disagreements between Participants and/or any third parties concerning the use of SeaMiles.  Should any such disagreements arise, any decision (s) made by the Sponsor regarding the disposition or use of SeaMiles shall be final.

H. GENERAL REWARD GUIDELINES

You can use your SeaMiles to redeem for cruise rewards on any of the following cruise lines:  Royal Caribbean, Norwegian Cruise Lines, Carnival Cruise Lines, Princess Cruise Lines, Holland America Line, Celebrity Cruises, Disney Cruise Lines, Crystal Cruises, Captain Cook, Costa Cruises, Clipper, Cruise West, Cunard Line, Delta Queen, Discover World Cruises, Globus, Intrav, MSC, Oceania, Orient Line, Radisson Seven Seas, Seabourn, SilverSea, Uniworld, and Viking River Cruises.

Rewards may not be used either retroactively or to pay the cost of cruise-related travel deposits.  The Cruise Rewards will not be effective until after you have tendered final payment for the cruise arrangements and provide the Rewarded SeaMiles.

All Rewards redeemed with SeaMiles are forfeited if the associated booking is subsequently canceled.

Items of a personal nature that are not normally included in the cruise fare including, but not limited to certain beverages, dining in onboard specialty restaurants, telephone calls, internet usage, photographs, gratuities and medical services, etc., are not included in any cruise packages provided by the Sponsor and are not eligible for offset with the use of any SeaMiles.

Any cruise travel utilizing SeaMiles shall be subject to the terms of the specific cruise line under which you are traveling.  All guests must read and sign the Passenger Cruise Ticket Agreement prior to being allowed to board.  Travel dates are subject to cruise line's schedule and are subject to change without notice.

It is the responsibility of the passenger to obtain and have possession of valid proof of citizenship or naturalization, vaccination documents and/or visa, as necessary, before boarding a vessel or entering another country.

I. CANCELLATION OF SEAMILES

SeaMiles expire sixty (60) months from when they are first transferred from Chase to a Participant's SeaMiles account maintained by SeaMiles Any accumulated SeaMiles (including Bonus SeaMiles) which remain unused for sixty (60) months shall expire and be removed from a Participant's SeaMiles Program total cumulative SeaMiles. This expiration shall continue against any SeaMiles earned and unused for sixty (60) months commencing with the sixty-first (61st) month of earned SeaMiles and so on for each successive month. SeaMiles are not available for use until they are transferred into the Participant's SeaMiles Program account maintained by SeaMiles.  Because SeaMiles are not negotiable they have no cash or monetary value and may not be used only be used for SeaMiles Program redemption.

In the event a Card is closed due to a default under the Program Rules and/or Cardmember Agreement, all SeaMiles will be forfeited and expire without value and without recourse to reinstate said SeaMiles.

Should a Participant choose to close his/her Card or account, any unused SeaMiles, which are insufficient in number to qualify for a Reward, shall be forfeited. Any request to use SeaMiles sufficient in number to qualify for a Reward must be redeemed before the Card account is closed. The closing of a Card account will not affect any Reward provided to Participant prior to such closing. Should the Sponsor terminate the Program, all unused SeaMiles shall expire as provided below in the section called "Termination of the Program."

J. GENERAL TERMS AFFECTING ALL REWARDS

All Rewards are described in the Rewards section appearing below.  All Rewards are subject to availability.  All Rewards may change at any time for any reason or no reason at all.

Participants are subject to and must comply with all terms and conditions governing the Reward as established by the entity providing the Reward, whether that entity is the Sponsor or a Partner.

Any additional travel, accommodation, or other arrangements made in connection with any Reward are the sole responsibility of the Participant.

Earning of SeaMiles and redemption of SeaMiles Rewards are subject to all applicable laws and regulations.  SeaMiles and SeaMiles Rewards may be subject to income or other taxes.  Such taxes and all disclosures related thereto are the sole responsibility of the Participant or Reward recipient.

K. TRANSFER OF SEAMILES

SeaMiles may not be transferred from one SeaMiles Program account or Cardmember account to any other.  SeaMiles do not constitute property of the Participant.  SeaMiles may not be brokered, bartered, or sold and may not be transferred upon disability, death, upon operation of law, or in connection with any domestic relations dispute and/or legal proceeding.  No SeaMiles pooling is allowed.

Any person (s) brokering, bartering, selling, purchasing, or altering SeaMiles, or travel documents may be held responsible for payment of the applicable cost or fare as well as all damages including, but not limited to consequential damages, litigation, and transaction costs. All brokered, bartered, sold, or altered travel documents shall be considered void and may be confiscated either by or upon the direction of the Sponsor.

L. DISPUTE RESOLUTION

All interpretations of the SeaMiles Program Rules as well as all questions or disputes regarding eligibility for the SeaMiles Program, the availability of any offers or Rewards, the availability of SeaMiles or of a Participant's compliance with the SeaMiles Program Rules shall be resolved by the Sponsor in its sole discretion.  Any interpretations of provisions of the Reward Program Rules and Regulations and the Cardmember Agreement shall be resolved by Chase in its sole discretion.

[Questions or disputes concerning SeaMiles will be determined according to the terms of the SeaMiles Program Rules in effect when the subject purchase transaction posted to your Card.] 

As a condition of participating in this SeaMiles Program, you agree that any and all disputes, claims or causes of action arising out of or connected with this SeaMiles Program or any rewards provided pursuant to this SeaMiles Program, to the extent the same is not within the Sponsor's sole discretion as provided in these Program rules and is not governed by the terms and conditions established by the provider of that Reward, shall be litigated, if at all, exclusively in and before a court located in Miami, Florida, U.S.A to the exclusion of the courts of any other state, territory or country.  You hereby waive any venue or other objection that you may have to any such action or proceeding being brought in any court located in Miami, Florida.

M. TERMINATION OF THE SEAMILES PROGRAM

As of May 04, 2007 the SeaMiles Program has no predetermined termination date and may continue until the Sponsor decides, in its sole discretion to terminate the SeaMiles Program.  The Sponsor may terminate the SeaMiles Program at any time with or without personal notice to you.  Participants will have seven (7) months from the date the Sponsor announces the termination of the SeaMilesProgram to redeem SeaMiles for Rewards.  In the case of termination of the SeaMiles Program, you may continue earning SeaMiles for ninety (90) days from the date the Sponsor announces the termination of the SeaMiles Program.  Requests for redemption of SeaMiles must be received by the Sponsor within seven (7) months from the date the Sponsor announces the termination of the SeaMiles Program.

Without limiting the preceding paragraph, the Sponsor may from time to time introduce new Rewards (offered either by the Sponsor or by its Partners).  Neither such promotional offers nor anything in these SeaMiles Program Rules shall be deemed to create or establish any agency, partnership, or joint venture relationship among the Sponsor, Chase, and any Partner.  The term "Partner" for purposes of this document is a term of art and shall have no legal relationship to the meaning of "partnership" under common or statutory law of any kind.

N. LIMITATIONS OF LIABILITY

Neither the Sponsor nor Chase nor any of their respective parents, subsidiaries and affiliated companies maintain control over the Partners that may provide rewards under this SeaMiles Program.  Accordingly, neither the Sponsor nor Chase nor their respective parents, subsidiaries, and affiliated companies will be responsible for any accident, loss, injury or damage incurred by you, those traveling with you or those traveling without you ("Loss") which may be caused or contributed to by such Partners or by any other cause, condition or event whatsoever beyond the direct control of the Sponsor or Chase or their respective parent, subsidiaries, and affiliated companies.

Participants participating in the SeaMiles Program hereby release the Sponsor and Chase and their respective parent, subsidiaries, and affiliated companies, and their respective officers, directors, employees and agents from any and all liability claims resulting from any acts or omissions of the Partners providing Rewards in connection with the SeaMiles Program, or from any other cause, condition or event beyond the direct control of the Sponsor or Chase or their respective parent, subsidiaries, and affiliated companies.

In addition, neither Chase nor the Sponsor, or its parent subsidiaries and affiliated companies shall be liable for any Loss, which occurs in connection with any use of a Reward provided by our preferred travel agents, its parent, subsidiaries, and affiliated companies, whether or not the Loss results directly or indirectly from any occurrences or conditions beyond the control of Chase or the Sponsor, or its parent subsidiaries and affiliated companies including, but not limited to restriction of laws, regulations, orders or other domestic or foreign government directives, breakdown of mechanical or electronic equipment, acts of third party vendors or suppliers, bankruptcy, labor disputes, theft, cancellations, changes in itineraries, and acts of terrorism, war, god or nature.

In no event will the Sponsor, Chase or any partner nor their respective parent, subsidiaries, and affiliated companies be liable to you for any consequential, incidental, exemplary or punitive damages, and the sole extent of their liability, if at all, shall not exceed the value of the specific Rewards.

Neither Chase nor the Sponsor shall be responsible for any correspondence lost or delayed in the mail including but not limited to Rewards or Cruise Documents, or for typographical errors and/or omissions in the SeaMiles Program Rules or related documentation.

The only rights granted to Participants pursuant to the SeaMiles Program Rules are those expressly stated in this document and any revised editions of the SeaMiles Program Rules, which may be published in paper and/or electronic form.  All documentation, including tickets, are issued subject to the general rules, regulations, tariffs, and terms of transportation established by the Sponsor, or the third party supplier of such products or services.  The Sponsor and all preferred partners are not affiliated with, nor are agents of the Cruise Lines, and are solely responsible for this offer.

O. DISCLAIMER OF WARRANTIES

THE SPONSOR MAKES NO WARRANTY OF ANY KIND REGARDING THE REWARDS PROGRAM, WHICH IS PROVIDED ON AN "AS IS" BASIS. SEAMILES, LLC EXPRESSLY DISCLAIMS ANY REPRESENTATION OR WARRANTY THAT ITS REWARDS PROGRAM WILL BE ERROR-FREE. THE SPONSOR FURTHER DISCLAIMS ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, AND TIMELINESS OF ANY CONTENT OR INFORMATION DISTRIBUTED WITH RESEPECT TO THE REWARDS PROGRAM. THE SPONSOR EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS WARRANTY DISCLAIMER MAY BE LIMITED IN ITS APPLICABILITY TO YOU.

P. TAXES

Sales tax will be applied to the full purchase price of any redemption of SeaMiles, regardless of the use of any award.  Please check with your tax advisor to see if there are any tax implications to you with regard to this SeaMiles Rewards Program.  Government taxes and fees are subject to change without notice.

Q. ACTS BEYOND SEAMILES CONTROL

The failure of the Sponsor to comply with the terms because of an act of God, war, fire, riot, terrorism, earthquake, actions of federal, state or local governmental authorities or for any other reason beyond the reasonable control of the Sponsor shall not be deemed a breach of this Agreement.  If any such contingency shall last for more than sixty (60) days, the Sponsor shall have the right to terminate this Agreement by giving notice with no further liability to any member.

R. NO WAIVER

If the Sponsor fails to act with respect to your breach or anyone else's breach on any occasion, the Sponsor is not waiving its right to act with respect to future or similar breaches.

S. COPYRIGHTS

SeaMiles is a registered trademark of the Sponsor or an affiliated entity.

T. CAPTIONS

The headings in these terms are for your convenience and reference.  These headings do not limit or affect these terms.

U. COMPLETE AGREEMENT

These terms, together with those items made a part of these terms by reference, make up the entire agreement between us relating to the SeaMiles Rewards Program, and replaces any prior understandings or agreements (whether oral or written) regarding the SeaMiles Rewards Program.  If a court finds any of these terms to be unenforceable or invalid, that term will be enforced to the fullest extent permitted by applicable law and the other terms will remain valid and enforceable.  The SeaMiles Rewards Program is void where prohibited.
